General Terms and Conditions for Partners (Businesses)

1. Scope and Provider

These terms apply to the use of the Partner Portal (partner.yumder.app) and Yumder’s partner features by business owners as defined in Section 14 of the German Civil Code (BGB), in particular restaurants, cafés, and bars. The provider is:

Adam Weiß
Auer Str. 47, 76287 Rheinstetten, Deutschland
Email: info@mineco.de

Any deviating or supplementary terms and conditions of the partner shall not apply, even if we do not expressly object to them. For consumers, the General Terms and Conditions for Users apply. Individually agreed-upon advertising campaigns (“Advertising Partners”) are governed by the respective individual agreement; these terms and conditions apply in addition.

2. Services

Yumder displays restaurants in a swipeable carousel and guides groups toward a shared outcome. Partners can manage their listing in the Partner Portal. There are two packages:

  • Basic (free): verified profile, statistics for the last 7 days, photo management (up to 2), menu and hours of operation, one user account, option to review guest photos yourself upon request, Top 10 award to share (if achieved). No preferential placement in the stack.
  • Boost (paid): preferred display in the list (time-limited upon request), discount code and event banner on the map, “Seats still available today,” cover photo test, statistics for 30 and 90 days with comparison, report as a file, up to 5 photos, and 3 user accounts.

The exact scope is specified in the description on the partner portal at the time of booking. We reserve the right to further develop features as long as the purpose of the contract is maintained.

3. Application, Contract Conclusion, and Access

A partner applies to manage an entry in the Claim process, confirms their email address, and certifies that they are authorized to represent the business and that the information provided is accurate. The contract for the Basic plan is concluded upon our approval; the contract for the Boost plan is concluded upon booking via the Partner Portal. We reserve the right to reject or postpone applications without providing a reason, for example, if there are doubts regarding authorization.

Access is granted via a code sent by email. The partner must keep access credentials secure and is responsible for the actions of its team members. Team access may only be granted to individuals acting on behalf of the partner.

4. Partner Content

The Partner is responsible for all information and content it posts (text, photos, menus, prices, discount codes, banners, links). The Partner warrants that it holds the necessary rights, that the content is accurate and not misleading or unlawful (particularly with respect to competition law, food safety regulations, and price labeling laws), and that it redeems discount codes and promotions as specified.

The Partner grants us a simple, non-exclusive, worldwide right to display the content on Yumder, on Yumder pages, and in awards (e.g., Top 10 image) and to edit it technically for this purpose.

We will briefly review photos, menus, cuisine, price range, banner texts, and name changes prior to publication and reserve the right to reject them. Phone numbers, links, hours of operation, and business closures go live immediately; we reserve the right to review and remove them at a later time. Name changes are permitted once every 30 days and must be confirmed via a code sent to the primary email address.

Photos of guests belong to the guests. The partner may hide approved guest photos in their gallery, display them again, or suggest them as a cover photo. The partner determines the cover photo within the applicable ranking system.

5. Boost and Display in the Stack

Boost partners are given preference and displayed more frequently when matching filters are met, but not as the first card and not guaranteed. We do not guarantee a specific number of views, swipes, matches, visits, or revenue. Selection is based on a fair rotation among Boost partners; we do not disclose the details of the selection process. Boost cards are labeled as “Ad.” We reserve the right to pause listings in the event of violations or complaints.

6. Prices, Trial Period, and Payment

Boost is available as a monthly or annual subscription. Prices are listed in the partner portal and in the checkout process prior to booking. We are a small business under § 19 UStG and do not charge sales tax. Payment is made in advance via Stripe.

For monthly subscriptions, there is a one-time, 14-day free trial period per location. It ends when the partner cancels early, at no cost. Otherwise, billing begins afterward. There is no trial period for annual subscriptions.

The subscription renews for the selected period until it is canceled. The partner can cancel at any time via the Stripe portal in the “Account” section, effective at the end of the paid period; the Boost will continue until then. No pro-rata refunds will be issued. If a payment fails, we may pause or terminate the Boost. We will announce price changes at least four weeks in advance; the partner may cancel by the end of that period.

Partners do not have a statutory right of withdrawal as consumers.

7. Removing a Location

The partner may remove a location from the portal. Doing so will immediately terminate any active subscription without a refund. Photos, menus, and details remain recoverable for 30 days and are deleted thereafter. A trial period cannot be booked again for the same location.

8. Statistics

The partner receives aggregated statistics regarding their listing (e.g., views, swipes, matches, clicks) and, upon request, a weekly report via email. The partner does not receive any personally identifiable information about guests. The partner may use the statistics solely for their own purposes.

9. Availability

We strive to ensure uninterrupted service but do not guarantee continuous availability. Maintenance, disruptions to third-party services, and force majeure may temporarily limit the service.

10. Liability

We bear unlimited liability in cases of willful misconduct and gross negligence, in cases of injury to life, limb, or health, under the Product Liability Act, and to the extent that we have provided a warranty. In cases of slight negligence, we are liable only for breaches of material contractual obligations and limited to foreseeable damages typical for this type of contract, up to a maximum of the total fees paid by the Partner over the past twelve months. We are not liable for lost profits or consequential damages in cases of slight negligence. We assume no liability for third-party data (e.g., OpenStreetMap) or content on external websites.

The Partner shall indemnify us against any claims by third parties arising from the Partner’s unlawful or infringing content, including reasonable legal costs.

11. Suspension and Termination

The right to terminate for good cause remains unaffected. Good cause on our part includes, in particular, false statements regarding authorization, unlawful content, misuse of the portal, or late payment despite a reminder. We may then suspend access and remove content. Upon termination of the contract, we will delete the Partner’s data after 30 days, provided there is no legal obligation to retain it.

12. Data Protection

Each party processes personal data under its own responsibility. Our data processing practices are outlined in the Privacy Policy.

13. Changes to These Terms

We may amend these terms and conditions with future effect provided we notify the Partner in writing at least four weeks in advance. The amendment shall be deemed approved if the Partner does not object within this period. We will specify the deadline and the consequences in the notice. In the event of an objection, either party may terminate the agreement at the end of the current term.

14. Final Provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The statutory provisions govern the venue for legal proceedings. Should any individual provisions be invalid, the remainder shall remain valid.
